Terms and Conditions

Proposed terms for U.S. accounts, spot trading, hosted wallets, transfers, fees, security, prohibited use, and disputes.

1. Draft and acceptance

These terms are a pre-launch draft. Sovra does not currently provide exchange, brokerage, custody, wallet, payment, investment, or advisory services. Viewing this site or joining an interest list does not create an account, customer relationship, or contract.

Final terms must identify the contracting entity, registered agent and address, licensed states, excluded jurisdictions, regulatory registrations, fee schedule, custody structure, governing law, dispute provisions, and service-specific disclosures. Customers will review and accept the final version before opening an account.

2. Eligibility and geographic availability

  • You must be at least 18, legally capable of contracting, and permitted to use the service under federal, state, and local law.
  • You must reside in a U.S. state or territory where Sovra has confirmed authority to offer the relevant service.
  • You must act for yourself, provide complete and accurate information, and complete identity, tax, bank, source-of-funds, and risk checks.
  • Sovra may decline or restrict an application when verification cannot be completed, a state is unsupported, or risk falls outside approved limits.

3. Account security

You are responsible for securing your device, email, phone number, passkeys, passwords, multi-factor authentication, recovery methods, and authorized access. You must promptly report suspected compromise and must not share credentials or allow another person to trade through your account.

Sovra may revoke sessions, require renewed verification, pause sensitive actions, or apply withdrawal review periods when unusual activity or legal risk is detected.

4. Services and order execution

The proposed service may support spot purchases and sales, U.S. dollar deposits and withdrawals, hosted wallet balances, crypto transfers, statements, and tax records for selected digital assets. Derivatives, margin, lending, staking, securities, and advisory services are outside the initial concept unless separately reviewed and authorized.

Quotes can expire. Market movement, spread, fees, slippage, liquidity, network conditions, minimums, and rounding can affect final amounts. Orders may be rejected, delayed, partially filled, or canceled when execution is unavailable or controls require it. Blockchain transfers are generally irreversible.

5. Wallets, custody, and withdrawals

Final custody disclosures will identify the custodian or wallet infrastructure, legal treatment of customer assets, segregation and reconciliation controls, hot and cold storage practices, supported networks, and treatment in insolvency. The current site does not hold assets.

You will be responsible for confirming addresses, networks, memo or tag fields, and recipient ownership. Sovra may screen, delay, reject, block, or request information about transfers to meet sanctions, BSA/AML, fraud, court-order, state licensing, or risk obligations.

6. Fees and taxes

Binding fees will be shown before confirmation and in the final fee schedule. Promotional or illustrative pricing on this concept site is not an offer.

You are responsible for your tax position. Sovra may collect taxpayer information, apply backup withholding, and report transactions or cost basis on Form 1099-DA or other forms where required. A tax statement is informational, not tax advice.

7. Prohibited use

  • Fraud, theft, sanctions evasion, money laundering, terrorist financing, market manipulation, ransomware, trafficking, or other unlawful activity.
  • Using another person’s identity, bank account, wallet, credentials, or funds without lawful authority.
  • Circumventing state restrictions, sanctions, geographic, transaction, security, verification, velocity, or withdrawal controls.
  • Abusing promotions, exploiting errors, interfering with infrastructure, scraping protected systems, or introducing malicious code.
  • Using Sovra for a transaction or business activity requiring authorization you do not possess.

8. Holds, delisting, suspension, and closure

Sovra may place holds, block property, restrict features, decline transactions, delist an asset, suspend a network, or close an account to comply with law, sanctions, legal process, licensing boundaries, risk controls, security needs, or partner requirements.

Reasonable notice will be provided where practicable, but urgent action may occur without advance notice. Final schedules will address remaining balances, pending orders, forks, airdrops, protocol changes, dormant property, and unsupported assets.

9. Disclaimers and responsibility

Digital assets are volatile and can lose all value. Unless separately agreed through an appropriately authorized service, Sovra will not provide personalized investment, legal, accounting, or tax advice. Educational material is general information only.

Final terms will contain legally reviewed warranties, service exclusions, liability limitations, indemnities, error-resolution language, and mandatory consumer protections. Nothing may exclude rights or liabilities that cannot lawfully be waived.

10. Complaints and disputes

Customers should first use the Complaints and Grievance Policy. The final governing law, venue, arbitration provision if any, jury and class-action terms if lawful, opt-out mechanism, and small-claims rights must be completed only after entity formation, licensed-state analysis, and U.S. consumer-law review.

Do not use these draft terms for live customers until federal and state counsel has approved every operational schedule and customer-rights provision.
